1. Acceptance of Terms
By accessing or using the PrimeBridge platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
2. Description of Service
PrimeBridge provides loan tape validation, data standardization, and portfolio monitoring tools for fintech lenders. Our services include:
- Loan tape validation and error detection
- Column mapping and data standardization
- Covenant monitoring and alerting
- Investor reporting tools
- API access for enterprise customers
Important: PrimeBridge is a data validation and analytics tool. We do not provide investment advice, credit decisions, or financial services. You are solely responsible for how you use our output and any decisions based on it.
3. Free Tier
Our free validation tool processes files locally in your browser. When using the free tier:
- Your data is processed entirely on your device
- We do not upload or store your loan tape data
- No account registration is required
- Features may be limited compared to paid plans
4. Paid Subscriptions
Paid plans provide additional features including cloud processing, API access, custom validation rules, and dedicated support. If you subscribe to a paid plan:
- You agree to pay the applicable subscription fees
- Subscriptions automatically renew unless cancelled
- Refunds are provided as described in your subscription agreement
- We may change pricing with 30 days notice
5. User Accounts
Registration
To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.
6. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations
- Upload malicious files or attempt to compromise our systems
- Reverse engineer, decompile, or disassemble the Platform
- Share account credentials with unauthorized users
- Use the Platform to process data you don't have rights to
- Attempt to circumvent usage limits or access controls
7. Your Data
You retain all rights to the loan tape data you process through our Platform. By using our services, you grant us a limited license to process your data solely to provide the services you requested.
You represent and warrant that you have all necessary rights to the data you upload and that your use of our Platform does not violate any third-party rights or applicable laws.
8. Intellectual Property
The Platform and its contents, including software, algorithms, text, graphics, and logos, are the property of PrimeBridge and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our permission.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:
- The Platform will be error-free or uninterrupted
- Validation results will catch all data errors
- Output will meet your specific requirements
- The Platform will be compatible with all systems
YOU USE THE PLATFORM AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF OUTPUT AND FOR ANY DECISIONS MADE BASED ON THAT OUTPUT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Data loss or corruption
- Business interruption
- Errors in validation or reporting
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless PrimeBridge from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason. You may cancel your account at any time. Upon termination, your right to use the Platform ceases immediately.
13. Modifications
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
